Trademark license

DocuSign hereby grants to users and licensees of its products and services a limited, nonexclusive and nontransferrable right to use DocuSign’s regular trade names, trademarks, titles and logos (“Licensed Marks”) solely for purposes of identifying DocuSign’s products and services. DocuSign users and licensees shall not make or permit alteration or removal of Licensed Marks placed by DocuSign on or within its products or related materials. DocuSign users and licensees shall apply the Licensed Marks only to genuine DocuSign products and services that are provided in accordance with the standards of quality in materials, design, workmanship, use, advertising and promotion established by DocuSign. DocuSign users and licensees will not use DocuSign’s Licensed Marks in any way that might result in confusion as to separate and distinct identities of DocuSign and others. Upon cessation of use of DocuSign’s products or services, the license granted in the Licensed Marks shall immediately terminate and the users and licensees shall immediately cease and desist all use of the Licensed Marks.

DocuSign users and licensees recognize and acknowledge DocuSign’s exclusive ownership and title to the Licensed Marks and the goodwill related thereto and agree that any goodwill that accrues because of user’s or licensee’s use of such marks shall become the property of DocuSign. DocuSign users and licensees further agree not to contest or take any action in opposition to any trademark, service mark, trade name or logo of DocuSign or to use, employ or attempt to register any mark or trade name that is similar to any mark or name of DocuSign.
