Ah! But yeah, that's the practice. Even in a huge deal like Bayer/Monsanto, the fee was only for antitrust failure, not financing. A fee for financing failure is seen as the easy way out, uncouth for a large corporate

well, that's a little different. Disney's deal is all-stock, there's no reason it wouldn't be able to pay up at the closing. but even so, strategic buyers, even in gigantic all-cash deals, generally don't negotiate reverse break-up fees. they submit to specific perf./damages

it's the same trick every debt-financed public M&A deal pulls: there is no financing condition, but if we can't close because the financing fails, we'll pay you a reverse break-up fee. or if there isn't one, you can sue us for damages
